Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the software, digital products, and related services (the "Services") provided by Forefront HQ, trading as Forefront HQ, whose business address is 7 St. George's Court, Jesmond Road, Weston-super-Mare BS22 7AB ("we", "us", "our"). By purchasing, downloading, subscribing to, or otherwise using our Services, you ("you", "the Customer") agree to be bound by these Terms.

1. Who We Are

Forefront HQ is a trading name of Ashley Nicholas Roberts, a sole trader. You can contact us at info@forefronthq.co.uk or 07940715134. We are not currently VAT-registered; prices shown do not include VAT.

2. The Services

We provide the following digital products/services: software and website development, digital marketing services, and website hosting and maintenance. We do not publish fixed prices; pricing is provided individually by quote based on your specific requirements, and is set out in your quote or order confirmation.

Services may be purchased following an agreed quote, sent to you by email. Once a quote is accepted, an invoice will be issued providing either a direct payment link or our bank details, so that payment can be made by bank transfer.

3. Licence to Use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for internal business use only. You may not: (a) resell, sublicense, or redistribute the Services; (b) reverse-engineer, decompile, or attempt to extract source code, except where permitted by law; (c) use the Services to build a competing product; (d) share login credentials with unauthorised third parties.

4. Orders, Pricing & Payment

We do not publish fixed prices. All fees are quoted individually based on your specific project or requirements, and are set out in the quote or order confirmation provided to you. Quotes are valid for 30 days from the date issued, unless otherwise stated, after which we may need to review and reissue pricing.

4.1 Project-based services (e.g. software or website development)

Unless otherwise agreed in writing, payment is due 50% upon acceptance of the quote, with the remaining 50% due on completion, before the project is made live or handed over. We reserve the right to withhold final delivery, access, or go-live until the balance is paid in full.

4.2 Digital marketing services

Digital marketing is offered as a separate product from project-based development work. The full fee for a digital marketing campaign is payable in advance, in full, before the campaign is delivered or commenced.

4.3 Hosting and maintenance

Fees for ongoing hosting and maintenance services are billed monthly in advance (or as otherwise stated in your order confirmation or quote), and will continue until the service is cancelled in accordance with Clause 6. We reserve the right to suspend or pause hosting or maintenance services if payment is not received within 7 days of the due date, following reasonable written notice to you.

4.4 Changes to project scope

Our quotes and fees are based on the scope of work agreed at the outset. Any request for changes, additional features, revisions beyond an agreed number, or new requirements after work has commenced may incur additional charges and may affect agreed timescales. Where practical, we will confirm the cost and impact of any change in writing before proceeding with it.

We reserve the right to correct genuine errors in a quote and to refuse or cancel an order accepted on the basis of an incorrect quote, even after order confirmation, in which case you will be offered a full refund of any amount paid for that order.

5. Delivery & Access

There is no fixed delivery timeframe across all Services. The delivery or completion timeline for each project is agreed with you in writing before work begins, and forms part of the accepted quote or order confirmation. Once agreed, this timeline will not change unless we agree a variation in writing, for example as a result of a change in project scope under Clause 4.4.

Digital products, access credentials, and campaign materials will be delivered or activated via email or account dashboard once the relevant conditions in Clause 4 have been met. It is your responsibility to provide accurate contact and account details.

6. Cancellation, Refunds & Right to Withdraw

If you are a consumer purchasing online or off-premises, you generally have a 14-day right to cancel under the Consumer Contracts Regulations 2013. However, if you access or download digital content within that period, you acknowledge that you lose this right once download or access begins, provided we have obtained your express consent and acknowledgement of this loss at the point of purchase.

Subscriptions and ongoing services (including hosting and maintenance) may be cancelled at any time via account settings or by contacting us; cancellation will take effect at the end of the current billing period, and no partial refunds are given for unused time unless required by law. 7. Your Obligations

You agree to: use the Services lawfully and in accordance with these Terms; keep your account credentials secure; provide accurate information; and not use the Services to transmit unlawful, harmful, or infringing content.

8. Intellectual Property & Project Ownership

All intellectual property rights in the Services, including software, content, branding, and documentation, remain owned by us or our licensors. Nothing in these Terms transfers any IP rights to you beyond the licence granted in Clause 3.

Unless otherwise agreed in writing, all work, code, designs, and other materials produced as part of a project remain the property of Forefront HQ, even after project completion and full payment, except where we have expressly agreed to transfer ownership to you.

If you wish to transfer a project (including its code, files, or hosting) away from Forefront HQ, for example to move it to another provider or in-house team, a termination fee of £200 is payable before any project files or access are transferred. Any outstanding hosting or maintenance fees will continue to be collected up to the end of the calendar month in which the transfer takes place.

9. Availability & Changes

We aim to keep the Services available at all times but do not guarantee uninterrupted access. We may update, modify, or discontinue features of the Services from time to time, and will give reasonable notice of material changes where practicable.

10. Limitation of Liability

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under English law. Subject to that, our total liability arising out of or in connection with the Services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential losses, including loss of profits, data, or business opportunity.

11. Data Protection

We process personal data in accordance with our Privacy Policy. By using the Services, you acknowledge that processing.

12. Termination

We may suspend or terminate your access to the Services if you breach these Terms, including non-payment. On termination, your licence to use the Services ends immediately, though clauses which by their nature should survive (e.g. IP, liability, governing law) will continue to apply.

13. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with them.
